Anybody interested in establishing a highly prestigious company within the EU should certainly give some thought to Malta. In addition to the country’s political and economic stablility, the tax benefits offered to foreigners make Malta worthy of consideration. It is worth bearing in mind, however, that the opening of bank accounts is no longer a straightforward process, and companies do not automatically receive EU tax numbers.
Method of incorporation / registration: The Memorandum and Articles of Association must be signed by the shareholders of the company. The minimum number of shareholders is 1, but 2 is the norm.
Company legal form: Private Limited Company by shares.
Company status: Resident Company by shares.
Source of corporate legislation: The Company Act of 1995.
Possible suffixes to company name: Ltd., Limited.
Restrictions on company name: The terms Bank, Insurance, Global, National, Imperial, European, Cooperative, World-wide, Investment, Financial and Trust may not appear in the company name.
Time required for incorporation: 3-4 weeks.
Number of directors: Minimum 1 of any nationality.
Number of shareholders: Minimum 1., but 2 is the norm.
Capitalisation: No minimum requirement, standard amount is 1500 EUR of which 20% must be paid up.
Accounting / reporting requirements: Audited accounts are required annually.
Type of shares: Registered.
Annual tax and duties: The standard corporate tax  rate is 35%; the effective rates are 0/5/10 % and 100-1400 EUR annual duty (depending on the capitalization) if the company was active in the subject year.
Information publicly available: Registered office, directors, secretary, shareholders.
Disclosure of beneficiaries: Not required.
